Well, even more info, dmesg says:

SMP: Allowing 2 CPUs, 0 hotplug CPUs
.
.
SMP alternatives: switching to UP code
.
.
SMP motherboard not detected.
.
.
SMP disabled

So 'SMP motherboard not detected,' probably explains it, but the 
question is why???
