mitochondrial DNA does not code for any proteins that occur outside the Mitochondria if i recall correctly.  i am fairly sure quite a bit of the important metabolic proteins are coded for by nuclear genes as well and then transported to the mitochondria.  

basically, the nutshell is that a long time ago, there were only simple cells.   mitochondria were a form of bacteria that entered into a symbiotic relationship with another single celled organism.  this is the genesis of Eukaryotic organism ("true cells") where there are things like a nucleus, etc.   So the fact that mitochondria have their own DNA is the relic of this 2 billion year old relationship.
